Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Elixir QR (“Elixir QR,” “Service,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Description of Service

Elixir QR provides online tools that allow users to create, customize, manage, and download QR codes and access related features made available through the Service.

We may add, modify, suspend, or discontinue features of the Service at any time. We will make reasonable efforts to maintain the functionality described on our website, but specific features are not guaranteed to remain available indefinitely.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase a subscription and use Elixir QR independently.

By using the Service, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

3. User Accounts

Certain features require you to create an account.

You agree to provide accurate and current information and to keep your account information updated.

You are responsible for:

Maintaining the confidentiality of your username and password
All activity conducted through your account
Using a secure password
Immediately notifying us of unauthorized access to your account

You may not share, sell, transfer, or resell your account without our prior written permission.

4. Subscriptions

Elixir QR is provided through a paid subscription unless otherwise stated.

The current subscription price and billing interval will be displayed during checkout. By subscribing, you authorize our payment processor to charge your selected payment method on a recurring basis until you cancel your subscription.

Your subscription will automatically renew unless canceled before the next billing date.

We may change subscription prices in the future. If we change the price of your subscription, we will provide reasonable advance notice before the change takes effect.

5. Payments

Payments are processed through third-party payment providers.

You agree to provide accurate billing and payment information and authorize the applicable payment provider to process charges associated with your subscription.

We are not responsible for payment-processing failures caused by your bank, card issuer, payment provider, or inaccurate payment information.

6. Cancellation

You may cancel your subscription at any time through your account or by contacting us.

Cancellation prevents future subscription renewals. Unless otherwise stated in our refund policy or required by applicable law, cancellation does not automatically entitle you to a refund for the remainder of your current billing period.

After cancellation, you may continue to have access to paid features until the end of your current paid billing period.

7. Refunds

Unless required by applicable law, subscription payments are non-refundable.

We may issue refunds or credits at our discretion.

If we offer a specific refund policy, trial, or promotional offer, the terms of that offer will apply.

8. Acceptable Use

You agree to use Elixir QR only for lawful purposes.

You may not use the Service to:

Facilitate illegal activities
Distribute malware, viruses, ransomware, or other malicious software
Conduct phishing or credential theft
Facilitate fraud, scams, or deceptive practices
Distribute unlawful content
Infringe copyrights, trademarks, or other intellectual-property rights
Harass, threaten, stalk, or harm another person
Promote violence or criminal activity
Distribute sexually exploitative material
Circumvent authentication, security, or access controls
Attempt to gain unauthorized access to another user’s account
Interfere with or disrupt the Service
Reverse engineer or attempt to extract proprietary source code except where permitted by applicable law
Use automated systems to abuse or overload the Service
Use the Service in violation of applicable laws or regulations

We reserve the right to suspend or terminate accounts involved in prohibited activity.

9. QR Codes and Linked Content

You are solely responsible for the content, destination URLs, websites, files, products, services, advertisements, or other material associated with QR codes you create.

Elixir QR does not control, verify, or endorse third-party content accessed through QR codes created by users.

You are responsible for ensuring that your QR codes and their destinations comply with applicable laws and these Terms.

We may disable or remove QR codes, links, or associated content when reasonably necessary to:

Address abuse or security threats
Comply with applicable law
Respond to legal requests
Protect the Service or other users
Enforce these Terms

10. Your Content

You retain ownership of content you submit to or associate with Elixir QR.

By using the Service, you grant Elixir QR a limited, non-exclusive right to host, process, transmit, reproduce, and display your content only as reasonably necessary to provide and operate the Service.

You represent and warrant that you have all necessary rights and permissions to use any content you submit.

11. Intellectual Property

Elixir QR and its original software, website, design, branding, logos, trademarks, interfaces, and other materials are owned by or licensed to us and are protected by applicable intellectual-property laws.

Except for the limited right to use the Service under these Terms, you receive no ownership interest in Elixir QR’s intellectual property.

You may not copy, reproduce, distribute, sell, sublicense, modify, or create derivative works from Elixir QR’s proprietary materials without our prior written permission.

12. Third-Party Services

Elixir QR may rely on third-party services for hosting, payment processing, infrastructure, communications, storage, analytics, or other functionality.

Third-party services may have their own terms and privacy policies.

We are not responsible for the availability, security, or performance of third-party services outside our reasonable control.

13. Service Availability

We will make reasonable efforts to keep Elixir QR operational and available.

However, we do not guarantee that the Service will always be uninterrupted, secure, timely, or error-free.

The Service may become temporarily unavailable because of:

Scheduled maintenance
Emergency maintenance
Hosting or infrastructure problems
Third-party service failures
Internet or network problems
Security incidents
Events beyond our reasonable control

We are not responsible for losses resulting from temporary Service interruptions.

14. Data and QR Code Availability

You are responsible for maintaining copies of any important information, files, QR code images, or other materials you use through the Service.

We do not guarantee permanent storage or availability of your QR codes or associated information after account cancellation or termination.

Following termination, we may delete account information and associated data after a reasonable period, subject to our legal obligations and applicable privacy requirements.

15. Account Suspension and Termination

We may suspend or terminate your account if:

You violate these Terms
You fail to pay applicable subscription fees
You engage in fraudulent or abusive activity
Your use creates a security risk
Your use exposes us to legal liability
We are required to do so by law
You otherwise misuse the Service

Where reasonably practical, we may provide notice before termination. We may immediately suspend access when necessary to address serious security, fraud, abuse, or legal concerns.

16. Effect of Termination

Upon termination or expiration of your subscription, your right to access paid features ends.

Unless otherwise required by law or expressly agreed by us, subscription fees already paid are not refundable.

Sections concerning intellectual property, acceptable use, disclaimers, limitations of liability, indemnification, governing law, and other provisions that by their nature should survive termination will continue to apply.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELIXIR QR IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND AVAILABILITY.

WE DO NOT GUARANTEE THAT:

THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS;
THE SERVICE WILL ALWAYS BE AVAILABLE;
THE SERVICE WILL BE ERROR-FREE;
QR CODES WILL ALWAYS FUNCTION WITHOUT INTERRUPTION;
THIRD-PARTY DESTINATIONS WILL REMAIN AVAILABLE;
INFORMATION PROVIDED THROUGH THE SERVICE WILL ALWAYS BE ACCURATE OR COMPLETE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELIXIR QR AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ELIXIR QR FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Elixir QR and its owners, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from:

Your use of the Service
Your violation of these Terms
Your content
Your QR codes or linked destinations
Your violation of another person’s rights
Your violation of applicable law
Your fraudulent, negligent, or abusive use of the Service

20. Privacy

Your use of Elixir QR is also governed by our Privacy Policy.

The Privacy Policy explains what information we collect, how we use it, how we protect it, and the circumstances under which information may be shared.

By using Elixir QR, you acknowledge that you have reviewed our Privacy Policy.

21. Changes to the Service

We may modify or discontinue all or part of Elixir QR at any time.

We may introduce new features, remove existing features, change functionality, or change technical requirements.

Where required by applicable law, we will provide appropriate notice of material changes.

22. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we may provide notice through the website, your account, or email.

The updated Terms will become effective on the date stated in the updated Terms.

Your continued use of Elixir QR after the effective date constitutes acceptance of the updated Terms, to the extent permitted by law.

23. Governing Law

These Terms and your use of Elixir QR shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, disputes arising out of or relating to these Terms or your use of Elixir QR shall be brought in the state or federal courts located in Marion County, Missouri, and you consent to the jurisdiction and venue of those courts.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Elixir QR regarding your use of the Service.

They supersede any prior agreements or understandings concerning the Service.

26. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, corporate restructuring, or similar transaction.
